Humas FH-USU (25/06/2026) The Faculty of Law, Universitas Sumatera Utara (FH USU), held a public discussion entitled "Re-Designing SOEs through Danantara and Legal Pitfalls: The Responsibilities of Directors and Commissioners" as part of its commitment to advancing academic discourse on strategic national issues, particularly the transformation of Indonesia's State-Owned Enterprises (SOEs).

The discussion featured Dr. Robert, S.H., M.H., who delivered a comprehensive presentation on the government's policy direction in establishing the Daya Anagata Nusantara Investment Management Agency (BPI Danantara) as the super holding company for SOEs, along with its legal implications for corporate governance, particularly concerning the responsibilities of boards of directors and commissioners.

During his presentation, Dr. Robert explained that the establishment of BPI Danantara represents a strategic government initiative to integrate the management of state-owned assets to improve efficiency, strengthen global competitiveness, and maximize the contribution of SOEs to Indonesia's national economy. However, he also noted that the implementation of this policy continues to face several challenges, including suboptimal financial performance among SOEs, asset management effectiveness, and the need to further strengthen transparent and accountable corporate governance.

From a legal perspective, the discussion emphasized that directors and commissioners of SOEs bear significant responsibilities in making strategic corporate decisions. The risk of falling into "legal pitfalls" was highlighted as a major concern, particularly in relation to corporate restructuring, investment decisions, and business consolidation. Therefore, the application of the prudential principle, adherence to good corporate governance, and the availability of adequate legal certainty and protection for corporate officers are essential.

FH USU views stronger governance, transparency, and accountability as key factors in ensuring the successful transformation of Indonesia's SOEs. The discussion is expected to contribute valuable academic perspectives to support the formulation of policies that balance economic objectives with legal certainty.
